1. Agreement to Terms

By accessing or using NousPre (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and Mywill HK Limited (“Company,” “we,” “us,” or “our”).

2. Platform Description

NousPre is a cognitive research platform that uses prediction market mechanisms as a tool for collecting behavioral decision data and generating structured cognitive profiles (“Nous”).

The Platform is not a gambling platform, financial exchange, or investment service. Participation in prediction markets on NousPre is for the purpose of contributing cognitive data and obtaining a cognitive profile. It does not constitute investment advice, financial advice, or any form of financial product.

During the current phase, all activity on the Platform uses virtual credits (“Credits”) with no monetary value. No real currency is involved.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into a binding agreement.
• Not be located in, a resident of, or a national of Mainland China or the United States.
• Not be located in any jurisdiction where prediction markets are prohibited or restricted by applicable law.

By using the Platform, you represent and warrant that you meet all eligibility requirements. We reserve the right to suspend or terminate accounts that we believe do not satisfy these requirements.

4. Account Terms

• You must provide accurate and complete information when creating an account and keep this information up to date.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• Each person may maintain only one account. Creating multiple accounts to circumvent restrictions is prohibited.
• You must notify us immediately at [email protected] if you become aware of any unauthorized use of your account.

5. Virtual Credits

Upon registration, you receive an initial balance of virtual credits. You may also earn or lose credits through participation in prediction markets.

• Credits have no monetary value and cannot be redeemed for cash or any other currency.
• Credits cannot be purchased, sold, transferred, or otherwise conveyed to any other person or entity.
• Credits do not constitute property, a financial asset, or any form of legal entitlement.
• We reserve the right to modify, reset, or remove Credits at any time without notice or compensation.
• Credits are not protected by any financial services compensation scheme or regulatory framework.

6. Prediction Markets

• Markets on the Platform are based on real-world events. Participating in a market does not constitute an investment, a bet, or a financial transaction.
• Market outcomes are resolved by the Company in accordance with pre-defined resolution criteria stated for each market.
• We reserve the right to cancel, void, modify, or delay the resolution of any market at our sole discretion, including where information used to resolve a market is found to be inaccurate or disputed.
• Nothing on the Platform constitutes investment advice, financial advice, or a recommendation to buy or sell any financial instrument.

7. Nous (Cognitive Profile) Data

“Nous” refers to the structured cognitive profile extracted from your behavioral data on the Platform.

• Ownership: Your Nous data belongs to you. You retain ownership of your cognitive profile at all times.
• By using the Platform, you grant us a non-exclusive, worldwide, royalty-free license to process your behavioral data for the purpose of extracting and generating your Nous profile.
• We may use anonymized and aggregated Nous data (from which individual users cannot be identified) for research, product development, and academic publication. We will never sell your identifiable Nous data to third parties.
• You may request the export or deletion of your Nous data at any time by contacting us at [email protected].
• Future on-chain confirmation: We intend to allow users to anchor their Nous profile to a blockchain-based token (NFT or SBT). The specific terms governing on-chain Nous will be provided when that feature becomes available. On-chain Nous tokens, once issued, will belong to the user.

8. Intellectual Property

All content, software, design, trademarks, and brand elements of the Platform are the exclusive property of Mywill HK Limited or its licensors. You may not reproduce, distribute, modify, or create derivative works from any part of the Platform without our express written permission.

The Nous Schema (the structured format of cognitive profiles), the extraction algorithms, and the methodologies used to derive Nous from behavioral data are proprietary intellectual property of Mywill HK Limited.

9. Prohibited Conduct

You agree not to:

• Manipulate prediction markets through coordinated activity, collusion, or wash trading.
• Create or use multiple accounts to gain an unfair advantage.
• Use automated bots, scripts, or other tools to interact with the Platform in ways not intended for human users.
• Trade on or use material non-public information to influence your predictions (insider trading).
• Attempt to reverse-engineer, decompile, or extract the Platform’s source code.
• Interfere with the Platform’s security or availability.
• Impersonate any person or entity, or misrepresent your affiliation with any person.
• Use the Platform in any way that violates applicable law or regulation.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MYWILL HK LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED HONG KONG DOLLARS (HKD 100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Mywill HK Limited, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Platform, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.

14. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform, the parties shall first attempt to resolve the matter through good-faith negotiation.

If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be finally settled by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules then in force. The seat of arbitration shall be Hong Kong. The language of arbitration shall be English.

15. Modifications to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last updated” date at the top of this page and, where appropriate, by sending an email notification to your registered address. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the revised Terms.
